Software License Agreement

This Software License Agreement ("Agreement") is entered into between MagicSword ("Licensor") and you ("Licensee") governing the use of the MagicSword application control software and related services (the "Software").

1. Grant of License

Subject to the terms of this Agreement and your valid subscription, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes.

2. Restrictions

You shall not:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Software
  • Sublicense, rent, lease, or lend the Software to any third party
  • Use the Software to develop a competing product or service
  • Remove or alter any proprietary notices on the Software
  • Use the Software in violation of applicable laws or regulations

3. Intellectual Property

The Software and all copies thereof are proprietary to Licensor and title thereto remains exclusively with Licensor. All rights in the Software not specifically granted in this Agreement are reserved to Licensor. The Software is protected by copyright and other intellectual property laws.

4. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

5. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE.

6. Term and Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

8. Entire Agreement

This Agreement, together with the Terms of Service, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.
